Acceptance of Terms

By engaging with Basepoint, LLC ("Company," "we," "us," "our," or "Basepoint") for design and branding services, you ("Client," "you," or "your") agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

Basepoint is a Limited Liability Company registered in the state of Wyoming and operates in accordance with Wyoming law.

Description of Services

Basepoint provides professional design and branding services including but not limited to:

  • Logo design and brand identity development

  • Brand strategy and positioning

  • Web design and digital design

  • Packaging and collateral design

  • Custom design work as specified in project agreements

Services are customized per project. Specific deliverables, timelines, and revision rounds are outlined in individual project agreements.

Client Responsibilities

As a client, you agree to:

  • Provide accurate information about your brand, business, and project vision

  • Respond to requests for feedback and direction in a timely manner

  • Provide all necessary materials, content, and assets needed for the project

  • Not misuse designs or intellectual property after delivery

  • Make timely payments according to the agreed schedule

Payment Terms

Payment Methods

All payments are processed through Wise, our secure payment processor. We accept payments via Wise for local and international transactions.

Payment Schedule

  • 50% deposit required upon project initiation

  • Remaining balance due upon delivery of final deliverables

  • Alternative payment schedules may be negotiated per project

Late Payments

Invoices are due by the date specified. If payment is not received by the due date, we may suspend services until payment is made. If payment is more than 7 days overdue, we may cancel the project and retain the deposit.

Project Timeline & Deadlines

Project timelines are estimates based on the agreed scope and client responsiveness. Timelines may be extended if:

  • Client provides feedback or direction late in the process

  • Revisions significantly expand the project scope

  • Client delays providing necessary materials or information

  • Unexpected circumstances affect the project schedule

Rush fees apply for expedited service requests. Timely client feedback is essential to maintain project momentum.

Revisions & Additional Work

All projects include a defined number of revision rounds as specified in your service agreement. Revision rounds allow for:

  • Minor adjustments and refinements to designs

  • Feedback-based iterations within the agreed scope

  • Color, layout, and element modifications

Changes that significantly alter the project scope or add new deliverables beyond the original agreement are considered additional work and will be billed separately at hourly rates or fixed rates as agreed.

Intellectual Property Rights

Upon Full Payment

Upon receipt of full payment, all intellectual property rights, including copyrights and trademarks in the final deliverables, transfer to you. You own the final designs and may use them for commercial purposes.

Before Full Payment

All work in progress, concepts, sketches, and preliminary designs remain the property of Basepoint until full payment is received. You may not use these materials without written permission.

Portfolio Rights

Basepoint retains the right to display completed work in our portfolio and marketing materials unless explicitly restricted in writing. You may request portfolio exclusivity at an additional cost.

Warranty & Limitations

Our Warranty

We warrant that:

  • Services will be performed professionally and in good faith

  • We will not knowingly infringe upon third-party intellectual property

  • Deliverables will be original work created for your project

No Guarantee of Results

While we strive to create compelling designs, we cannot guarantee specific business results, sales increases, or marketing outcomes from our work. Design effectiveness depends on many factors beyond our control, including market conditions and implementation.

Limitation of Liability

Basepoint's liability is limited to the amount paid for the project. We are not liable for indirect, consequential, or punitive damages arising from our services.

Third-Party Content & Standards

If you provide text, images, logos, or other content for inclusion in designs, you warrant that you own the rights to this content or have obtained proper licenses. You are responsible for ensuring compliance with copyright, trademark, and licensing laws.

Basepoint is not responsible for infringement claims related to client-provided materials.

Confidentiality

Both parties agree to maintain confidentiality regarding sensitive business information shared during the project. This includes:

  • Unpublished brand strategies

  • Proprietary business information

  • Financial or competitive data

Confidentiality obligations do not apply to information that is publicly available or that must be disclosed by law.

Termination

Either party may terminate a project by providing written notice. Upon termination:

  • You remain responsible for payment of work completed to date

  • Any deposits or payments made are non-refundable unless otherwise agreed

  • All deliverables in progress revert to Basepoint unless final payment is made

  • Intellectual property transfers only upon full payment

Payment Processing & Wise

All payments are processed through Wise, our designated payment processor. By engaging our services, you agree to:

  • Make payments through Wise as specified in invoices

  • Accept Wise's terms and conditions for payment processing

  • Bear responsibility for currency conversion fees if applicable

  • Understand that international transfers may take 3-10 business days

For payment support or disputes, contact Basepoint directly rather than disputing through Wise.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved according to Wyoming law.

Dispute Resolution

Before pursuing legal action, both parties agree to attempt resolution through good-faith negotiation. If negotiation fails, disputes may be resolved through mediation or arbitration as agreed by both parties.
